• I understand that I am responsible for any past due balances on my account, and that if I do not pay these balances, I will lose all membership privileges.
• I understand that I must adhere to the Gym Rules & Etiquette at all times. These rules are subject to change - continued use of the facility is an agreement to abide by any and all rule changes.

Facility Terms & Conditions
Members agree to abide by all facility rules and regulations as posted by Vertical View LLC. The member (or the legal guardian in the case of a minor) also acknowledges reading and voluntarily agreeing to the Release of Liability Waiver. Failure to comply with this membership agreement, or any rule/regulation, shall be cause for revocation of membership without notice and without any liability of refund. This membership agreement is cancelable only as provided by state law, otherwise the entire amount of the Membership Agreement is due per the terms of this agreement. There will be no refund of prepaid membership fees. Upon default by buyer, Vertical View LLC. may, at its option, declare all unpaid total payments immediately due and payable without demand or notice. Waiver of any default by Buyer shall not operate as a waiver of future defaults. Vertical View LLC. shall be entitled to all actual and reasonable costs of collection, including reasonable attorney fees, upon default by buyer. Buyer’s payment obligation may be assigned by Vertical View to an affiliated company, any bank, finance, company, collection agency, or similar institutions. Buyer’s and Member’s sole and exclusive remedy in the event of a breach by Vertical View LLC. of any of its warranties or representations shall be canceled as otherwise provided herein, or as provided by law. Failure of Member to use Vertical View LLC’s facilities shall not relieve Buyer of Buyer’s obligation to make payment as set forth in the statement of disclosure. To keep a membership valid, dues or renewal fees must be paid continuously whether a member uses Vertical View LLC’s facilities or not.

Notice to Buyer
• Do not sign this agreement before you read it or if it contains any blank spaces to be filled in.
• Vertical View LLC acknowledges receipt of a completely filled in Membership Agreement at the time the buyer signs the Membership Agreement.
• This Membership Agreement must be in writing, as printed, and all amendments, additions or alterations to the Membership Agreement are void.
• The holder of this consumer credit Membership Agreement is subject to all claims and defenses which the debtor could assert against the buyer of services obtained pursuant hereto or with proceeds hereof. Unless paid in full, this Membership Agreement constitutes a promissory note.
• If any portion of this Membership Agreement is held unenforceable, such portions shall be disregarded and the remainder hereof shall remain in full force and effect.
• By agreeing to this document, I acknowledge my understanding of all terms and conditions outlined in this document.

Annual Prepaid Membership Terms & Conditions

• I understand that this is a prepaid 12 month membership and that payment is due in full at the time of purchase.

• I understand that the membership begins at the time of first use and does not renew automatically.

• I understand that the membership will automatically expire at the end of the prepaid term.

• I understand that annual memberships may be frozen for a minimum of one month and up to three months per membership term at no cost.

• I understand that each full month the membership is frozen will be added to the end of the prepaid term. For example, a two month freeze will extend the membership expiration date by two months.

• I understand that I am responsible for managing freeze dates and other membership information through my online account.

• I understand that refunds are not provided for unused membership time, injury, illness, relocation, travel, or schedule changes. Exceptional circumstances may be reviewed by Vertical View management.

• I understand that there are no oral promises or statements that are part of this Membership Agreement.

• I understand that I must follow the Gym Rules & Etiquette at all times. These rules are subject to change. Continued use of the facility constitutes agreement to follow all rule changes.

Facility Terms & Conditions

Members agree to abide by all facility rules and regulations posted by Vertical View LLC. The member, or the legal guardian in the case of a minor, also acknowledges reading and voluntarily agreeing to the Release of Liability Waiver.

Failure to comply with this Membership Agreement or any facility rule or regulation shall be cause for revocation of membership without notice and without liability for a refund.

This Membership Agreement is cancelable only as provided by state law. Otherwise, the entire amount of the Membership Agreement is due according to the terms of this agreement. There will be no refund of prepaid membership fees.

Vertical View LLC shall be entitled to all actual and reasonable collection costs, including reasonable attorney fees, upon default by the buyer. The buyer’s payment obligation may be assigned by Vertical View LLC to an affiliated company, bank, finance company, collection agency, or similar institution.

The buyer’s and member’s sole and exclusive remedy in the event of a breach by Vertical View LLC of any warranty or representation shall be cancellation as otherwise provided in this agreement or by law.

Failure of the member to use Vertical View LLC’s facilities shall not relieve the buyer of the obligation to make payments as stated in the statement of disclosure. To keep a membership valid, dues or renewal fees must be paid continuously whether a member uses Vertical View LLC’s facilities or not. Any tags that need replacement will be a cost of $5.00
